Michael Ross is a partner at Firsel Ross Gussis & Alexander. His practice encompasses all areas of commercial real estate, with extensive experience in complex transactions. Michael also represents clients in business acquisitions and sales.

Michael's experience spans over 30 years of diligently advocating for clients in all types of commercial real estate transactions, including commercial leasing, commercial lending, commercial and retail acquisition and development and apartment acquisition, development and financing. In connection with representing clients on borrowing transactions, Michael is particularly knowledgeable in the negotiation of loan documents, including those for securitized loans (CBMS), Freddie Mac, Fannie Mae and HUD loans. Michael also represents private lenders in financing transactions, including business loans, equity and mezzanine debt.

Much of his practice is focused on advising clients on complex ownership structuring, including joint ventures, partnerships and tenancy in common arrangements. Michael works closely with his clients on creating ownership structures that meet strict lender requirements, including equity investment, single-purpose entity and bankruptcy remoteness provisions. He always considers his clients’ investment needs and tax consequences and analyzes the effect of loan restrictions as a going concern for his clients and their business operations. He also takes an active role in restructuring deals for income tax purposes as they relate to real estate development.

Michael Ross is passionate about his work and actively takes a lead role in all of his clients’ transactions. He zealously negotiates purchase and sale agreements, oversees all aspects of due diligence, manages the delivery of lender and closing requirements and brings all involved parties together to successfully complete a transaction.

Michael has lectured on commercial leasing at the International Council of Shopping Centers convention.
